Consolidated Minutes of 03/01/25 Skyline Ranch Estates Water Supply Corporation (SREWSC) Annual Members Meeting, And SREWSC 3/01/25 Board Meeting
Following Notice duly given in compliance with Texas Open Meetings Act and Skyline Ranch Estates Waters Supply Corporation (SREWSC) Bylaws, the 2025 Annual SREWSC Members meeting was scheduled, posted and met immediately following the annual Skyline Ranch Estates Property Owners Association meeting at Wimberley United Methodist Church, RR 12 & FM 1492, Wimberley, Hays County, Texas, (with the POA meeting having begun about 10:30 a.m. on 3/1/2025).
MINUTES OF 3/1/25 ANNUAL SREWSC MEMBERS MEETING:
- Determine existence of quorum and call meeting to order. Promptly following adjournment of the SREPOA annual meeting, the SREWSC President, Mark Hallam, called for a show of hands by SREWSC Members, then recognized the presence of a quorum of the SREWSC Members, and called the 2025 Annual Members' Meeting for the Skyline Ranch Estates Water Supply Corporation (SREWSC” or “the WSC”) to order at 11:40 a.m. on Saturday, March 1, 2025, at the Wimberley United Methodist Church, at the corner of RR 12 and CR 1492, 2 miles south of the Wimberley square, Wimberley (Hays County), Texas 78676.
- Review & Approve minutes from previous Members' Meeting (February 24, 2024). A copy of Minutes from the 2024 Annual SREWSC Members' Meeting was posted prior to the Meeting on the WSC’s website and printed copies of the minutes were made available at the meeting. On motion made by Steve Greenberg and seconded by Chip Schwamb, the minutes of the 2024 Annual WSC Members’ Meeting were approved and adopted by unanimous vote of the members present, with all in favor and none opposed.
- Informational Presentations: The President, Mark Hallam, gave a presentation, with assistance from Vice President Chip Schwamb and Treasurer Hamish Fordwood, to provide members information regarding:
A) Current drought conditions and required regulatory compliance. Emergency Drought Stage / 40% curtailment along with discussion of what a 40% curtailment means. The presentation also included brief general discussion of electronic water leak detection systems currently being made available by Kohler, Phyn and Moen, and the estimated possible costs of installing them. There was also discussion of the CSI – Customer Service Inspection – currently required to be performed on new construction and every 10 years after new construction by consumers connected to all public water systems (including SREWSC) by state law and by Texas Commission on Environmental Quality (TCEQ) regulations. There was also discussion of similar TCEQ regulations requiring annual inspection of all backflow prevention devices on public water supply customers having alternative water sources and related WSC policy. There was also discussion of system improvements recently approved by the board: 3 more mini-hydrants to be installed at the remaining 3 flush valve locations where installation costs would be modest and infrastructure improvements to piping and fittings at the pressure tank.
B) Finances of the WSC.
C) Tariff study underway and possible future tariff changes under consideration by the Board.
D) Board membership. Members interested in serving on the board were encouraged to attend a couple of board meetings to see how the WSC’s business is conducted by the board and to volunteer if interested and willing to participate. The board’s intentions and WSC’s mission of providing high quality potable water for consumption by the WSC’s members/customers at a reasonable price was also mentioned.
4. Open Forum: No members signed up to speak on the sign-up sheet left at the door before commencement of the Skyline Ranch Estates POA annual meeting, but the President nevertheless invited comments or questions from any members who wished to speak. No one spoke up.
5. Adjourn. Following motion duly made and seconded, the President adjourned the Annual 2025 SREWSC Members’ Meeting without objection at approximately 12:20 p.m.
MINUTES OF 3/1/25 ANNUAL SREWSC BOARD MEETING:
Pursuant to Notice duly given under Texas Open Meetings Act, the Skyline Ranch Estates Water Supply Corporation (SREWSC) Board held its regular annual organizational Board meeting on Saturday, 3/1/2025, at the Wimberley United Methodist Church, RR 12 and FM 1492, Wimberley, Hays County, Texas, commencing more or less immediately following the Annual SREWSC Members’ Meeting just held on the same date at the same location.
- Determine existence of quorum and call meeting to order. Recognizing presence of a quorum the President called the meeting to order at 12:23 p.m. Mark Hallam, Chip Schwamb, Hamish Fordwood and Steve Greenberg were present. (Tres Koenings was absent owing to illness.) Rik Martinez was present as a guest.
- Review & Approve Minutes of 2/20/25 Board Meeting. The minutes had been circulated electronically to board members prior to the meeting. Upon motion made by Steve and seconded by Mark, the minutes of the 2/20/25 meeting were approved by unanimous affirmative vote of all board members present, with 4 votes in favor and 0 opposed.
- Organizational discussion for coming year and election of officers to serve through the next/2026 annual members meeting. A discussion occurred in which each officer indicated willingness to continue serving in their current office. A motion was made by Steve and seconded by Chip, to re-elect a slate of officers consisting of each currently serving officer into their current respective positions for the next year (until the 2026 organizational board meeting) [to-wit: Mark Hallam as President, Chip Schwamb as Vice-President, Hamish Fordwood as Treasurer, and Steve Greenberg as Secretary]. The motion was approved by unanimous affirmative vote of all board members present, with 4 votes in favor and 0 opposed.
- Set date and location for next regular/monthly board meeting. By consensus of all board members present and without objection, the next regular monthly SREWSC board meeting was set for 5:30 p.m. on Thursday, April 10, 2025, to take place at the Schwamb’s Casa, 1100 Skyline Ridge Lookout, Wimberley (Hays County), TX 78676.
- Public Comment. No members asked to speak at the Board meeting.
- Adjourn. With consensus of all board members present and without objection, the President adjourned the meeting at 12:26 p.m.
